We are active investors
that collaborate with our Operating Partners and Partner
Companies to grow their businesses, build equity value,
and harvest this value at the opportune time. We maintain
a long-term, patient investment approach, with our
typical holding period being 3 to 8 years. While we
are not typically involved in the day-to-day management
of our Partner Companies, we are widely recognized
by our management partners as contributing to the creation
of equity value by providing them with the resources
required to achieve their goals. The expertise Marwit
brings to its Partner Companies includes:
Building and Recruiting Strong Management
Teams. Marwit believes that each Partner Company should
be run by Operating Managers whose full time and
energies are devoted to building equity value in
their businesses. In many cases, a strong management
team is already resident in a Partner Company and
is a principal reason why we are interested in an
investment. In other cases, we identify the Operating
Partner first, and engage in an active acquisition
search to find a platform company to acquire in partnership.
Lastly, when and if it becomes necessary to supplement
management, we work with our Partner Companies to
address these needs and help source the right people
by leveraging our network of contacts and coordinating
the activities of third party search firms.
Arrange Financings and Capital Market Decisions. In most Buyout transactions, or add-on acquisition
transactions for Partner Companies, we take responsibility
for and arrange 100% of the senior and subordinated
debt and in some cases additional equity required
to complete the transaction. In addition, we work
closely with our Partner Companies to determine the
right time to raise additional capital and the optimal
capital structure.
Budgeting and Financial Analysis. In many situations,
we work closely with our management partners to develop
professional budgeting processes and financial reporting
systems. We then work closely with management to
help them utilize these tools most effectively in
the creation of equity value. We also serve as an
analytical resource to assist Partner Companies with
important financial decisions, such as acquisitions,
new initiatives and capital investment.
Mergers and Acquisitions. We provide leadership
and are highly active with our Partner Companies
in every stage of the M&A process, including:
(1) developing an acquisition strategy, (2) identifying,
contacting, assessing, and valuing acquisition targets,
(3) designing and conducting due diligence, (4) negotiating
deal structure, terms and legal documents, (5) financing
and closing the transaction, and (7) assisting with
integration following closing.
Strategic and Operational Planning. We
assist management in IT systems evaluation and deployment,
relocation
plans, lease/real estate issues, marketing initiatives,
and many other operations oriented issues.
Executing
and Maximizing Value of Exit Transactions. In many
cases, we originate and manage the exit transaction
for our Partner Companies and Operating Partners.
This process often involves one or more of the
following elements: (1) determining the most opportune
time
to pursue the exit, (2) identifying the most attractive
form of exit, (3) developing the sale or exit strategy,
(4) interviewing and retaining investment bankers,
(5) handling the sale transaction ourselves, including
identifying and negotiating directly with buyers,
and/or (6) arranging third party financing in the
event of a recapitalization or partial buyout transaction
where we are enabling our management partners to
buy our position. We have established a proven
track record for performance in this area, having
achieved
20 Partner Company exits in the past 5 years, the
vast majority of which were completed at valuation
multiple levels that were higher than the multiples
at which we invested.
